Terms of Service

1. Acceptance of Terms

By registering for or using the Pinpoint platform ("Service"), you ("Merchant") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms constitute a binding legal agreement between you and Pinpoint Labs Inc. ("Pinpoint", "we", "us").

2. Description of Service

Pinpoint provides software-as-a-service infrastructure that enables Merchants to deploy QR codes and digital entry points linking to configurable Hub pages. The Service facilitates the collection and display of customer feedback, analytics, and engagement data on behalf of Merchants.

Pinpoint is a technology platform and infrastructure provider only. Pinpoint does not operate, manage, or control any Merchant's business, products, services, or customer relationships. All business decisions, customer interactions, and commercial activities conducted through or in connection with the Service are solely the responsibility of the Merchant.

3. Merchant Responsibilities

As a Merchant, you are solely responsible for:

  • All content, data, and information you configure or collect through the Service
  • Compliance with all applicable laws, regulations, and industry standards in your jurisdiction, including privacy laws, consumer protection laws, and data protection regulations
  • Obtaining all necessary consents from your customers (End Users) before collecting their personal information through the Service
  • Providing appropriate privacy notices to your customers prior to any data collection
  • Responding to and handling any requests from your customers regarding their personal information
  • The accuracy of all business information you provide to Pinpoint
  • All activities that occur under your account credentials

4. Data Ownership and Control

You own your data. All customer data, feedback, visitor records, and analytics collected through your use of the Service are your property. Pinpoint acts solely as a technical custodian, processing and storing this data on your behalf and under your instruction.

Pinpoint does not claim any ownership rights over your data or your customers' data. Pinpoint will not use, sell, license, or disclose your data or your customers' data except as necessary to provide the Service or as required by law.

Upon termination of your account, you may request a full export of your data. Pinpoint will retain data for a reasonable administrative period following termination, after which it will be permanently deleted.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PINPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

Pinpoint's total aggregate liability to you for any claims arising under or related to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to Pinpoint in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Pinpoint has been advised of the possibility of such damages.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Pinpoint does not warrant the accuracy, completeness, or reliability of any data processed through the Service, including but not limited to Google review data, analytics, or customer feedback. Merchants are solely responsible for verifying the accuracy of any information they rely upon.

7. Indemnification

You agree to indemnify, defend, and hold harmless Pinpoint and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your collection, use, or processing of End User data; (e) any claim by a third party relating to your business operations or customer relationships; or (f) any content or data you submit through the Service.

8. Third-Party Services

The Service integrates with third-party services including Google (review data and mapping), Supabase, Vercel, Resend, and Upstash. Your use of these integrations is subject to the respective third-party terms of service. Pinpoint is not responsible for the availability, accuracy, or conduct of any third-party service.

Google review data displayed through the Service is sourced from Google's public APIs. Pinpoint makes no representations about the accuracy, completeness, or timeliness of such data and is not liable for any business decisions made in reliance on it.

9. Acceptable Use

You may not use the Service to: violate any applicable law or regulation; collect personal information from minors without appropriate consent; engage in deceptive or misleading practices toward your customers; transmit spam, malware, or harmful code; attempt to gain unauthorized access to any system; or interfere with the operation of the Service or other users' use of it.

Pinpoint reserves the right to suspend or terminate any account that violates these acceptable use provisions, without liability to the Merchant.

10. Account Termination

Either party may terminate the Service relationship at any time. Upon termination: your access to the Service will cease; QR codes linked to your account will stop functioning; you may request a data export within 30 days of termination; after 90 days, your data may be permanently deleted.

Pinpoint may suspend or terminate your account immediately without notice if you materially breach these Terms, engage in fraudulent activity, or use the Service in a manner that exposes Pinpoint or others to legal liability.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of British Columbia, Canada. You waive any objection to the jurisdiction of such courts.

12. Changes to Terms

Pinpoint may modify these Terms at any time. Material changes will be communicated to Merchants via email or Dashboard notification at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Miscellaneous

These Terms constitute the entire agreement between you and Pinpoint regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Pinpoint's failure to enforce any right or provision is not a waiver of that right. You may not assign your rights under these Terms without Pinpoint's prior written consent.
